Terms of Use

These terms govern your use of DealTrail, the software and services offered by Business Advisors of America, a DBA of Michael Ventures II LLC. By requesting access or using DealTrail you agree to them. If you join as a partner, the partner agreement you sign also applies, and where the two differ, the partner agreement controls.

The service

DealTrail gives partners a place to manage clients, follow-ups, deals, NDAs and offering memorandums, and access to services our team provides, such as outreach and buyer matching. We may change, add or remove features. Access is at our discretion and we may decline or end it.

Your account

Keep your login to yourself and tell us if you think someone else has used it. You are responsible for what happens under your login.

Your contacts and content

You keep ownership of the contacts and content you add. You confirm you have the right to add them and to contact them the way you ask DealTrail to, including any consent the law requires for texts, calls and email. You let us use your content to run DealTrail for you.

Messages sent through DealTrail

Texts, emails and calls you send through DealTrail go out under your name. You are responsible for following the laws that apply to them, including telemarketing, texting and spam laws, and honoring opt-outs.

Licensing

DealTrail is software. It does not make you a licensee of Business Advisors of America or eXp Commercial. In California, business sales handled by Business Advisors of America are brokered by eXp Commercial of California, Inc., CA DRE #02134436. You are responsible for holding any license your own work requires.

Fees

There is no charge to join or use DealTrail unless we agree otherwise in writing. Commission sharing on deals is set by the partner agreement.

Acceptable use

Do not use DealTrail to break the law, to send messages to people who have not agreed to receive them, to copy or resell the service, or to get into accounts or data that are not yours.

Disclaimers

DealTrail is provided as is. Matches, valuations, estimates and other information in DealTrail are for your review and are not a promise that a deal will close or of any result. We do not give legal or tax advice.

Limit of liability

To the extent the law allows, Business Advisors of America is not liable for indirect or consequential losses, and its total liability for any claim about DealTrail is limited to the amount you paid for DealTrail in the twelve months before the claim, or one hundred dollars if you paid nothing.

Ending use

You can stop using DealTrail at any time. We may suspend or end access if these terms are broken or to protect the service. Sections on content, disclaimers and liability continue after access ends.

Governing law

California law governs these terms. Disputes go to the state or federal courts in Los Angeles County, California.
